Terms of Service

1. Acceptance.

By accessing or using www.asta1.us (the "Site"), you accept and agree to be bound by these Terms of Service ("Terms"). The Site is operated by Asta LLC ("Asta," "we," "us," or "our"). If you are accessing the Site on behalf of a company or other entity, you represent that you have the authority to bind that entity to these Terms.

2. Information only; no professional relationship.

The Site provides general information about Asta and its advisory practice. The information on the Site does not constitute legal, tax, accounting, financial, investment, or other professional advice and is not a substitute for engaging a qualified professional. No advisory relationship between you and Asta is formed by your visit to the Site, by your submission of a brief through the contact form, or by any communication that precedes a signed engagement letter. An advisory relationship is formed only when Asta and the client execute a written engagement letter that defines the scope, deliverables, and fees of the work.

2.5. Scope of engagement and practice posture.

Across every practice line described on the Site — including Strategy and Planning, Fractional Executive (CFO, CMO, COO), Fundraising and Capital, Mergers and Acquisitions, Re-Startup and Transformation, Risk and Operations, and AI Transformation — Asta's role is advisory. The work delivered is analysis, recommendation, materials, and process design. Asta does not solicit, contact, communicate with, distribute materials to, or pitch specific investors on behalf of any client; the firm does not act as a placement agent, broker-dealer, or investment adviser; and the firm does not execute securities transactions, hold or transmit client funds or securities, or accept compensation contingent on the close of a securities transaction or capital raise. Founders and clients conduct their own investor outreach and transaction execution; Asta supports the work with senior judgment, written analysis, and the materials the buyer needs in the room. Materials on the Site are provided for general informational purposes only and are not legal, tax, accounting, financial, or investment advice. Specific decisions should be made in consultation with qualified independent counsel, accountants, and financial advisors retained by the client. The full regulatory disclosure appears in the footer of every page on this Site and is incorporated into these Terms by reference.

3. No offer or solicitation; no investment advice.

Nothing on the Site constitutes an offer or solicitation to buy or sell any security or to provide investment advice. Asta is not registered as a broker-dealer with the U.S. Securities and Exchange Commission, the Financial Industry Regulatory Authority, or any state securities regulator, and is not registered as an investment adviser, and the firm's advisory work does not meet the definition of providing investment advice for compensation as set forth in Section 202(a)(11) of the Investment Advisers Act of 1940. Any references to securities, capital markets, or investment matters in Asta's advisory work are incidental to a broader management consulting engagement and are not provided as standalone investment advice.

4. Permitted use.

You may use the Site for your personal, non-commercial information about Asta and to inquire about Asta's services. You may not use the Site for any unlawful purpose, in any manner that could damage, disable, overburden, or impair the Site, in any manner that interferes with any other party's use of the Site, or to scrape, harvest, or copy material from the Site for redistribution.

5. Intellectual property.

The Site and all of its content (including text, images, graphics, logos, and code) are the property of Asta LLC or its licensors and are protected by United States and international copyright, trademark, and other intellectual-property laws. You may view and download a single copy of the material on the Site for your personal, non-commercial use only, provided you retain all copyright and other proprietary notices. You may not modify, reproduce, distribute, transmit, display, perform, or create derivative works from the material on the Site without our prior written permission.

6. User submissions.

If you submit a brief or other information through the contact form on the Site, you represent that the information is accurate and that you have the right to provide it. You grant Asta a limited, non-exclusive, royalty-free license to use the information for the purposes described in the Privacy Policy, including evaluating whether to enter into an engagement with you. Information you submit is treated under the Privacy Policy and, if an engagement letter is executed, under the confidentiality provisions of that letter.

7. Third-party links.

The Site may contain links to third-party sites that are not under our control. We provide such links for convenience only and do not endorse the content, products, or services of any third-party site. Your use of any third-party site is at your own risk and is governed by the third-party site's own terms.

8. Forward-looking statements and accuracy.

Information on the Site is provided for general informational purposes only, may not be current, and should not be relied upon as the basis for any investment, tax, legal, or business decision. Statements about future plans, capabilities, or outcomes are forward-looking and inherently uncertain; actual results may differ materially. We make no representations or warranties as to the accuracy or completeness of any third-party information referenced on the Site.

9. Disclaimer of warranties.

The Site is provided "as is" and "as available," without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted availability. We do not warrant that the Site will be free of errors or viruses. You use the Site at your own risk.

10. Limitation of liability.

To the fullest extent permitted by applicable law, in no event will Asta or its members, officers, employees, affiliates, or agents be liable to you for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business opportunity, arising out of or in connection with your use of the Site, even if Asta has been advised of the possibility of such damages. Asta's aggregate liability arising out of or in connection with your use of the Site will not exceed the greater of (a) the total amount you have paid to Asta in the twelve months preceding the event giving rise to the claim, or (b) one thousand United States dollars (US $1,000). This limitation applies regardless of the legal theory of recovery, and applies to direct damages only; the exclusion of indirect, incidental, special, consequential, and punitive damages set out above is independent of and in addition to this cap.

11. Indemnification.

You agree to indemnify and hold harmless Asta and its members, officers, employees, affiliates, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney fees) arising out of or in connection with your use of the Site or your breach of these Terms.

12. Governing law and dispute resolution.

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to its conflict-of-laws principles. Any dispute arising out of or in connection with these Terms or your use of the Site will be resolved exclusively in the state or federal courts located in the Commonwealth of Virginia, and you consent to personal jurisdiction in those courts.

12.5. Time limit on claims.

Any claim or cause of action you may have arising out of or relating to these Terms or your use of the Site must be commenced within one (1) year after the claim or cause of action accrues, or be permanently barred. This limitation does not apply where prohibited by applicable law and shall not be construed to extend any statute of limitations otherwise applicable to the claim.

13. Modifications.

We may modify these Terms from time to time. The "Last updated" date at the top of the Terms reflects the date of the most recent change. For non-material changes (typographical corrections, contact-information updates, or restatements that do not alter substantive rights or obligations), your continued use of the Site after the modified Terms are posted constitutes your acceptance of the modified Terms. For material changes (including changes to the limitation of liability, the dispute-resolution forum, the choice of law, or any expansion of the scope of indemnification you owe to Asta), we will provide reasonable advance notice through a prominent notice on the Site, and your continued use of the Site after the effective date of the modified Terms with notice constitutes your acceptance of the modified Terms. If you do not agree to a material change, your remedy is to discontinue use of the Site before the effective date of the modified Terms.

13.5. Electronic notices and e-signature.

You consent to receive notices, communications, and agreements from Asta in electronic form (including by email to the address you provide and by posting on the Site), and you agree that all such electronic notices, communications, and agreements satisfy any legal requirement that they be in writing. You consent to the use of electronic signatures (including e-signature platforms such as DocuSign, Adobe Sign, or equivalent) for any document Asta may deliver electronically, and you agree that any such electronic signature has the same legal effect, validity, and enforceability as a handwritten signature. You may withdraw this consent for future communications by writing to info@asta1.us, in which case Asta may, at its option, decline to provide electronic communications to you and require an alternative arrangement.

14. Severability and entire agreement.

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect. These Terms, together with the Privacy Policy and any engagement letter executed between you and Asta, constitute the entire agreement between you and Asta regarding your use of the Site.
